Notice to Triathlon England Members
 
I am delighted, on behalf of the Triathlon England team, to invite you to the Triathlon England Annual General Meeting on Saturday 15th November at Holywell Park, Loughborough University. 
 
Proceedings will be conducted in accordance with the Triathlon England Regulations but it is hoped to maintain an informal atmosphere with an opportunity for members to ask questions and raise concerns as part of the meeting.

Resolutions
 
Resolutions to change the Triathlon England Regulations are to be voted on at the 2014 Triathlon England Annual General Meeting (AGM).  Details of the proposed resolutions can be found below:
 
The Resolutions
 
Resolution 1:  Background and Explanation
 
The Triathlon England (TE) Regulations currently set out in full the categories of TE membership and this means that any changes to those categories would need to be approved by TE members at a General Meeting.  The membership structure of TE is currently being reviewed by the Triathlon England Management Board and it is clear that if we are to make Triathlon England membership attractive to a higher proportion of English triathletes then we need to be able tailor membership packages for the triathlete profiles that were identified in the preliminary work done last year.
 
It is anticipated that the detail of the membership categories and the adjustments that may need to be made based on feedback and experience mean that it will not be practical to retain the current system under which all changes to membership categories need to be approved by the TE membership as a whole.  For this reason the TE Council (which is made up of member-elected representatives from each of the ten TE Regions) is proposing that the TE Regulations are changed to give the TEMB authority to amend the membership categories subject to safeguards that are designed to enhance, rather than diminish, member participation in this policy area.

* Subject to annual TE budget being agreed by the Council and to the general Council supervisory function. 
† Before approving any changes the Council will need to be satisfied that suitable membership consultation has taken place, where appropriate. 
 
For example, the initial introduction of new membership categories is likely to be significant and the Council will need to be satisfied that the wider membership has been consulted.  This contrasts to the current position when the only members that have to be involved in such changes would be the small number of members who would be in a position to attend the TE General Meeting at which the proposal would be voted upon.
 
Examples of changes that might fall below the threshold for wider membership consultation are inflation-based increases in cost and changes to the member insurance cover required by the BTF’s insurer.
 
The elements of the current regulations setting out who qualifies to be an individual member of Triathlon England and entitling clubs to become members by affiliating to Triathlon England will be retained.
 
The resolution to make these changes is being proposed at the 2014 AGM as it is hoped that at least some changes to the membership categories will be ready for implementation before the 2015 AGM.  This should avoid the need to call another TE General Meeting in 2015.
 
Resolution 1: Wording of the Resolution
 
It is resolved that Regulation 9 of the Triathlon England Regulations be deleted and replaced by the following:
 
9.  Triathlon England will offer classes of individual membership determined by the TE Management Board.  The TE Management Board must obtain the agreement of the Council to changes to the classes of membership, the cost of membership and to significant changes to the core benefits of each class of membership (such as insurance).  Before agreeing to any of these changes, the Council must satisfy itself that suitable wider consultation with the membership has occurred, if appropriate. Except in the case of Honorary Members, individual membership will only be open to individuals residing in England or, if residing outside England, individuals eligible to represent England in international Triathlon competitions.  In addition to individual membership, triathlon clubs (and other sports clubs having a triathlon section) shall be entitled to affiliate and thereby become Members of Triathlon England upon application in the form prescribed by the TE Management Board.
 
Resolution 2: Background and Explanation 
 
The Yorkshire & Humberside Regional Committee have proposed a resolution to change the region's name in the TE Regulations to “Yorkshire”.  The background to this is that the original nine TE regions were aligned to the nine English regions defined at time by the Government.  One of these regions was Yorkshire & Humberside, with the “Humberside” element being made up of areas that were previously in north Lincolnshire and the East Riding of Yorkshire.  However, the Government defined regions no longer exist and the southern parts of Humberside have returned to their identity as part of Lincolnshire.   Last year, following consultation with the triathlon clubs in the former South Humberside, a process was started to integrate them into the Triathlon England’s East Midlands Region (which includes the rest of Lincolnshire).  The final part of the process, involving consultation with individual members in the former South Humberside is expected to be completed by the end of 2014.
 
In the course of consultation by the Yorkshire & Humberside Regional Committee, it has been apparent that there is a desire to strengthen the Yorkshire identity, particularly from those clubs in 
the East of their region.  This resolution being brought to the 2014 TE AGM in order that the change of name can take place as soon as the South Humberside consultation process has been completed.
 
Resolution 2: Wording of the Resolution
 
That the references to “Yorkshire & Humberside” in Regulations 39 and 69 of the Triathlon England Regulations be amended by the deletion of “& Humberside” in both regulations with effect from a date to be determined by the Triathlon England Management Board.
 
Each of the resolutions will require changes to TE Regulations and will require a 75% majority of members attending the meeting in order to be effective. The quorum for such a meeting is twenty five members.  The term ‘members’, includes all individual members and all registered clubs.  Each member is entitled to one vote, i.e. each individual has one vote and each club has one vote.
 
Triathlon England has received notice of two proposed resolutions (listed above) to change the TE Regulations at this year’s AGM.  In line with our constitution, as these resolutions are to change the Triathlon England Regulations, they will take effect if approved by at least 75% of the members present at the AGM.  For this purpose “members” includes all individual members and also clubs that are affiliated to Triathlon England.  Individual members who wish to represent their clubs at the Annual General Meeting should ensure that they are authorised by their club to do so (for further information on how clubs may exercise their votes at TE Annual General Meetings, please consult www.triathlonengland.org).
 
Members may submit amendments to this business, which must be received at least five days before the Annual General Meeting.
